Terms of Service

By accessing or using the ModlOS platform (the "Platform") and related services (collectively, the "Services") provided by ModlOS ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms. If you do not agree to these Terms, you may not use the Services.

ModlOS is a cloud-based financial reporting and business management platform that provides: • Integration with third-party accounting software (QuickBooks Online, Xero) to sync financial data • Interactive financial dashboards and reporting • Budget and forecasting tools • Automated monthly financial report generation and delivery • Business Tools (scorecards, priorities, meetings, etc.) • Multi-entity consolidation • Client portal for sharing reports and dashboards • User and team management

To use our Services, you must create an account. You agree to: • Provide accurate, current, and complete information during registration • Maintain the security and confidentiality of your login credentials • Notify us immediately of any unauthorized use of your account • Accept responsibility for all activity that occurs under your account We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe are being used fraudulently.

Free Trial: New accounts receive a 7-day free trial with access to all platform features, limited to 3 connected companies. No credit card is required for the free trial. Paid Plans:After the trial period, continued use of the Services requires a paid subscription at $49 per user per month. "Users" refers to firm staff accounts (Owner, Admin, Accountant, Bookkeeper roles). Client portal users are provided at no additional charge. Billing: Subscriptions are billed monthly through Stripe. You authorize us to charge the payment method associated with your account for all applicable fees. Changes to Pricing:We reserve the right to change our pricing at any time. We will provide at least 30 days' notice before any price increase takes effect. Price changes will apply at the start of your next billing cycle after the notice period. Cancellation: You may cancel your subscription at any time through the billing management portal. Upon cancellation, you will retain access to the Services until the end of your current billing period. No refunds are provided for partial billing periods.

You agree not to: • Use the Services for any unlawful purpose or in violation of any applicable laws • Attempt to gain unauthorized access to the Platform or other users' accounts • Interfere with or disrupt the integrity or performance of the Services • Reverse engineer, decompile, or disassemble any part of the Platform • Use the Services to transmit malware, viruses, or other harmful code • Resell, sublicense, or redistribute the Services without our written consent • Use automated systems (bots, scrapers) to access the Services without permission • Upload, transmit, or store any content that is illegal, harmful, or infringes on others' rights

Your Data: You retain all ownership rights to your data, including financial data synced from third-party accounting software. We do not claim ownership over your data. Our Platform: The Platform, including its design, code, features, documentation, and branding, is owned by ModlOS and protected by intellectual property laws. These Terms do not grant you any rights to our intellectual property except the limited right to use the Services as described herein. License to Us: By uploading or syncing data to the Platform, you grant us a limited, non-exclusive license to use, process, and display your data solely for the purpose of providing the Services to you. Feedback: If you provide suggestions, ideas, or feedback about the Services, you grant us the right to use that feedback without restriction or compensation.

Our Services integrate with third-party accounting platforms (QuickBooks Online, Xero) and service providers (Stripe, Resend). Your use of these integrations is subject to the respective third party's terms of service and privacy policies. We are not responsible for the availability, accuracy, or functionality of third-party services. We do not guarantee uninterrupted access to third-party integrations. You may revoke our access to your third-party accounts at any time. Upon revocation, we will no longer sync new data from that provider, but previously synced data will remain in our system unless you request its deletion.

The Platform includes a client portal feature that allows you to share financial reports and dashboards with your clients. You are responsible for: • Obtaining any necessary consent from your clients before sharing their financial data through the Platform • Managing client access permissions appropriately • Ensuring that the data you share through the client portal is accurate and appropriate We provide the client portal as a tool; we are not responsible for the accuracy of the financial data displayed or the decisions made based on that data.

Not Financial Advice: The Services are provided for informational purposes only. The reports, dashboards, analyses, and other outputs generated by the Platform are not intended to substitute for professional accounting, tax, or financial advice. You should consult with qualified professionals before making financial decisions based on information from the Platform. No Warranty:THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. Data Accuracy: While we strive to accurately sync and display financial data, we do not guarantee the accuracy, completeness, or timeliness of any data displayed on the Platform. You are responsible for verifying the accuracy of all financial data and reports.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MODLOS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

You agree to indemnify, defend, and hold harmless ModlOS and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or in connection with: • Your use of the Services • Your violation of these Terms • Your violation of any rights of another party • Any data or content you provide through the Services

We may suspend or terminate your access to the Services at any time, with or without notice, for any reason, including if we reasonably believe you have violated these Terms. Upon termination, your right to use the Services will immediately cease. We will retain your data for 90 days after termination, during which time you may request an export. After 90 days, we may delete your data.

These Terms are governed by the laws of the State of Colorado, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or the Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in any court of competent jurisdiction.

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the effective date. Your continued use of the Services after any changes constitutes your acceptance of the new Terms.

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.
